The differences aren't drastic, and the important ones are mainly in rules and OOA.

On the counters - there were a handful of errata ground unit counters printed with Case Blue. These changes were relatively trivial. The graphics, and a few ratings, of the aircraft counters were updated - a complete set for both CB and GBII was printed with CB. As far as I know, these changes are reflected in the new GBII box. The new printing also adds the Alarm HQs to deal with the Massive Assault rule.

The GBII reprint rules include the front-wide rules from CB. They also add a substantial package of optional rules for tweaking long campaigns.

The 2011 OOA has some problems, as the GBII countermix was not updated based on the OOA research for CB. In other words, research since 2001 turned up a number of units that participated in the CB campaign, but that also spent some time on the GBII maps and were not included in the original GBII printing. Unfortunately, they are still not there. The fix is here:

Basically, if you want to principally play the Typhoon campaign and don't expect to get Case Blue, either printing is just fine. For long campaigns, and for people who have or plan to get Case Blue, the newer printing is the way to go.

Pretty much. If you own Case Blue, you already have:

The linking and campaign rules
Combined setups
All the counters from Case Blue needed to deal with the revised OOA
All the aircraft you will need for both sets
All the Alarm HQs you will need for both sets (Case Blue included 4 of these, on its own, one for each massive assault)

All you would be missing are any errata counters that were not picked up with Case Blue or the GBII reprint (honestly, I'm not sure there are any, but it sounds like the Special Ops has some) and the optional rules package in the new GBII box.

So you should be good to go...
